Engagements
Any work we perform is governed by a signed proposal, statement of work, or service agreement. Where those documents conflict with these terms, the signed agreement prevails.
Quotations and estimates
Estimates shared before a signed agreement are indicative. Final scope, timeline, and cost are confirmed in writing before work begins.
Intellectual property
- Deliverables built specifically for a client transfer on full payment, as set out in the signed agreement.
- Pre-existing tools, libraries, and internal frameworks remain ours, licensed to the client for use in the delivered solution.
- Third-party components remain subject to their own licences.
Confidentiality
Information shared during an engagement is treated as confidential and used only to deliver the agreed services.
Limitation of liability
To the extent permitted by law, our liability arising from an engagement is limited to the fees paid for the affected services. We are not liable for indirect or consequential loss.
Governing law
These terms are governed by the laws of the Republic of the Philippines, with venue in the courts of Metro Manila.
